Terms of Use

These Terms of Use ("Terms") govern your access to and use of websites, applications, software, and services provided by NEEDO Corporation ("NEEDO," "we," "us," or "our"), including AptStats.

By accessing or using our services, you agree to these Terms.

If you are using the services on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf.

NEEDO provides software designed to help multifamily service companies organize their operations, including properties, communities, units, jobs, schedules, employees, vendors, contractors, and related business workflows.

Features and functionality may change from time to time.

Certain features require an account.

You agree to provide accurate information and maintain the confidentiality of your account credentials.

You are responsible for activity conducted through your account and for ensuring that users authorized by your organization use the services in accordance with these Terms.

You must promptly notify NEEDO if you suspect unauthorized access to your account.

Subject to these Terms and any applicable subscription or service agreement, NEEDO grants you a limited, non-exclusive, non-transferable, revocable right to access and use the services for your organization's legitimate business purposes.

You may not:

• Use the services for unlawful purposes
• Attempt to gain unauthorized access to the services or another user's account
• Circumvent security or access controls
• Interfere with the operation or security of the services
• Introduce malicious code
• Reverse engineer, decompile, or attempt to derive source code except where such restrictions are prohibited by law
• Copy, resell, sublicense, or commercially exploit the services except as expressly authorized by NEEDO
• Use automated methods to access the service in a manner that materially interferes with its operation
• Use the services to violate the rights of another person or organization

You retain your rights in information and content submitted to the services by or on behalf of your organization ("Customer Data").

You grant NEEDO the rights reasonably necessary to host, process, transmit, reproduce, back up, and otherwise use Customer Data for the purpose of providing, securing, maintaining, and improving the services.

You represent that your organization has the necessary rights and authority to provide Customer Data to NEEDO and to authorize its processing.

AptStats may allow customers to connect with third-party services, including QuickBooks products and services provided by Intuit Inc.

By connecting a third-party service, you authorize NEEDO to communicate with that service and access, receive, transmit, or process information as necessary to provide the functionality you request.

Your use of QuickBooks remains subject to Intuit's applicable agreements, policies, and terms.

NEEDO does not control third-party services and is not responsible for changes, outages, errors, data availability, security practices, or actions of third-party providers.

You are responsible for ensuring that you are authorized to connect any third-party account to AptStats.

You may revoke a QuickBooks or other third-party connection through the available account or integration controls.

QuickBooks and Intuit are trademarks of Intuit Inc. NEEDO is not Intuit Inc. unless expressly stated otherwise.

Our collection and use of information is described in the NEEDO Privacy Policy.

By using the services, you acknowledge that information may be processed as described in that policy.

The NEEDO services, including AptStats, and their software, design, interfaces, workflows, documentation, branding, graphics, text, and other materials are owned by NEEDO or its licensors and are protected by applicable intellectual property laws.

Except for the limited right to use the services granted under these Terms, no ownership rights are transferred to you.

NEEDO, AptStats, related names, logos, and branding may not be used without permission except as allowed by law.

If you provide suggestions, ideas, recommendations, or other feedback concerning the services, you authorize NEEDO to use that feedback without restriction or obligation to you.

We work to maintain reliable services but do not guarantee that the services will always be uninterrupted, error-free, or available.

Maintenance, security events, third-party outages, internet failures, upgrades, or circumstances outside our reasonable control may affect availability.

We may add, modify, or discontinue features as our products evolve.

You are responsible for:

• Determining whether the services are appropriate for your organization
• Maintaining appropriate devices and internet connectivity
• Ensuring that authorized users comply with these Terms
• Reviewing information generated or stored through the services for accuracy
• Maintaining any records or backups your organization is legally required to maintain
• Complying with laws applicable to your organization and its use of the services

AptStats is an operational software tool and is not a substitute for professional accounting, tax, legal, employment, or other professional advice.

Certain NEEDO services may require payment under a separate subscription, order, proposal, or service agreement.

Where a separate written agreement governs pricing, billing, renewal, or cancellation, that agreement controls those matters.

NEEDO may suspend or terminate access to the services if:

• You materially violate these Terms
• Your use creates a security risk
• Your use could harm NEEDO, another customer, or a third party
• Required fees remain unpaid
• Suspension or termination is required by law
• A third-party service necessary for a particular integration becomes unavailable

You may stop using the services at any time, subject to any separate contractual obligations applicable to your account.

Provisions that by their nature should survive termination will remain in effect, including intellectual property, disclaimers, limitations of liability, and other accrued rights or obligations.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

NEEDO DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NEEDO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL INFORMATION STORED OR GENERATED THROUGH THE SERVICES WILL ALWAYS BE ACCURATE OR COMPLETE.

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEEDO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, OR LOSS OF DATA, ARISING FROM OR RELATING TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEEDO'S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID TO NEEDO BY THE CUSTOMER FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

These limitations apply to the extent permitted under applicable law.

To the extent permitted by law, you agree to defend, indemnify, and hold harmless NEEDO and its officers, directors, employees, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful use of the services, your violation of these Terms, or Customer Data that you did not have authority to provide.

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the services will be subject to the jurisdiction of the appropriate state or federal courts located in Georgia, unless another written agreement between you and NEEDO provides otherwise.

We may update these Terms periodically.

When changes are made, we will update the effective date shown above.

Continued use of the services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
